PURPOSE
To improve communication and promote knowledge and enthusiasm for dressage
and combined training; and to encourage
the rider and the organizer in sporting events for the horse.
Article 1. NAME
This organization shall be known as Cochise Dressage and Eventing
Association.
Article 2. GOVERNMENT
Section 1. A quorum shall consist of one-third of the voting members.
A quorum shall be required for the
election of officers. (Voting may be by mail and such voting shall
satisfy the quorum.)
Section 2. Proposed changes in the bylaws shall be handled as follows:
A. Members in good standing shall be notified at least 15 days prior to a
regularly scheduled meeting.
B. A two-thirds majority of the membership present (including mail-in votes)
shall be required to pass any motion
for change.
Section 3. EXECUTIVE COMMITTEE
A. The Executive Committee shall consist of a president, vice-president,
secretary and treasurer.
B. The Executive Committee shall establish policies and coordinate club
activities.
C. Meetings of the Executive Committee shall be held as deemed necessary.
D. Officers shall be elected each November and hold office for one year.
The new officers shall take office
as of January 1.
E. In the event an officer resigns prior to expiration of that term of office,
the President may appoint a successor to hold office until the next regular
election.
Article 3. BYLAWS
Cochise Dressage and Eventing Association shall have the right to adopt any and all bylaws it deems necessary
to its proper functioning.
Section 1. Members
A. Any person who has paid dues at the approved rate shall be considered a member.
B. Payment of dues confirms compliance with this constitution and its bylaws.
C. A senior member is any member 18 years and over.
D. A junior member is any member under 18 years of age as of January 1st.
Section 2. Membership
There shall be two classifications of membership:
A. Membership shall be available to individuals at a cost of $25 per year.
B. Family memberships will be available at a cost of $15 per additional family membership.
C. Any full member in good standing shall be entitled to one vote.
D. Dues may be changed as needed by a vote of a quorum of the membership without amendment of these bylaws.
Section 3. Meetings
A. Regular meetings shall be held on the first Thursday of every month.
B. Special meetings may be called by a quorum of the members of the Executive Committee with the
proviso that the time of the meeting be announced via a written communication dispatched by mail to
all members at least 7 days in advance.
C. Any order of business not covered by this constitution shall be governed by Roberts Rules of Order.
D. Fully paid regular members may attend meetings. Guests are welcome, but they may not participate in
discussions or vote.
Section 4. Fiscal Year
A. The fiscal year shall coincide with the calendar year.
Section 5. Duties of Officers
A. The president shall:
1. Preside at all official club meetings and functions;
2. Break ties in a vote of the Executive Committee;
3. Be advisory chair to all committees;
4. Be club delegate to the United States Dressage Federation of United States Eventing Association
if needed.
B. The vice-president shall:
1. Assist the president in the performance of his or her duties;
2. Serve in lieu of the president in the event that officer's absence at meetings and other activities;
3. If the post of president is vacated, assume the duties of the president until the next regular election;
C. The secretary shall:
1. Keep minutes of the meetings;
2. Handle and keep a record of all transactions, non-financial business and correspondence;
3. Maintain an active file of all members' addresses.
D. The treasurer shall:
1. Collect all dues, assessments and all other monies forthcoming to the organization and act as
custodian thereof
2. Pay all bills authorized by the organization;
3. Keep a complete record of all financial business and make a treasurer's report at each regular meeting.
Section 6. Liquidation
Should the Cochise Dressage and Eventing Association be disbanded, all sums remaining after the payment
of all debts and obligations are to be equally divided between USDF and USEA or distributed as voted by the
club membership to local charity.
